Eagl Terms of Service
Welcome to Eagl! Before you access our services, please read these Terms of Service.
These Terms of Use are a binding agreement between you and EAGL LABS AI SDN. BHD. They govern your access to and use of Eagl, including eaglpro.com, app.eaglpro.com, the Eagl mobile application and related services. Please read them before using Eagl.
1 Accepting these Terms
By creating an account, purchasing a plan, clicking to accept these Terms, or accessing or using Eagl, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Eagl.
If you use Eagl for an organisation, you confirm that you have authority to accept these Terms for that organisation. In that case, “you” includes the organisation. If an order form, pilot agreement or enterprise agreement signed with us conflicts with these Terms, the signed agreement prevails for that conflict.
2 Eligibility and minors
You must be at least 16 years old to use Eagl. If you are under 18, or below the age at which you may enter a contract where you live, you may use Eagl only with permission and supervision from a parent or legal guardian. The parent or guardian accepts responsibility for the minor’s use of Eagl.
Eagl is not directed to children under 16. If we reasonably believe that an account belongs to a child under 16, we may suspend or close it and handle the associated personal data in accordance with our Privacy Policy and applicable law.
3 Your account
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your sign-in credentials and for activity carried out through your account, except to the extent caused by our failure to use reasonable security measures.
Do not share a personal account or allow another person to impersonate you. Tell us promptly at [email protected] if you suspect unauthorised access or a security incident involving your account.
4 The Eagl service
Eagl is a speech-to-documentation service. It processes audio, video, text, web pages and supported third-party sources into structured, visual documents called Blueprints. Available inputs, features, processing limits and supported devices may differ by plan and may change as the service develops.
Subject to these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to access and use Eagl for lawful personal, educational or internal business purposes. You may not sublicense or resell access unless we agree in writing.
5 Recordings and source material
You are responsible for every recording, upload, link, transcript, prompt and other material you submit to Eagl. Before recording or uploading a conversation, meeting, lecture, interview, coaching session or other material, you must have all rights, notices, permissions and consents required by applicable law, contract, workplace policy and confidentiality obligations.
You must not use Eagl to record people secretly where notice or consent is required, to bypass access controls or paywalls, or to process material that you are not permitted to copy, upload or analyse. Eagl does not determine whether your recording or use is lawful in your location.
6 Your content and Blueprints
“User Content” means the source material and instructions you submit, and the Blueprints and other output generated for you through Eagl.
As between you and Eagl, you retain your rights in the source material you submit. Subject to applicable law and any third-party rights, you own the Blueprints generated for your account. We do not claim ownership of your User Content.
You give us and our service providers a limited right to host, reproduce, transmit, convert and otherwise process User Content only as reasonably necessary to provide, secure, maintain and support Eagl, comply with law, and enforce these Terms. How we handle personal data is explained in our Privacy Policy.
You are responsible for reviewing a Blueprint before relying on, publishing or sharing it. AI-generated output may not be unique, and other users may receive similar output. Ownership does not extend to third-party material or rights contained in a Blueprint.
7 Sharing and publishing
Eagl may allow you to create a share link or publish a Blueprint. Anyone who receives an accessible link may be able to view its contents. You decide what to share, with whom, and for how long, and you are responsible for checking the Blueprint for confidential, personal, copyrighted or inaccurate material before sharing it.
A share link is not a substitute for a confidentiality agreement or access-control policy. If a link is forwarded, copied, indexed, downloaded or captured by another person, withdrawing the link may not remove copies already made outside Eagl.
8 AI output and important limitations
Eagl uses automated speech recognition and artificial intelligence. Transcripts, translations, timestamps, speaker labels, extracts, interpretations and Blueprints may contain mistakes, omissions or misleading content. Quality can be affected by audio, accents, language, terminology, multiple speakers and the source material itself.
Eagl is an organisation and reference tool, not a substitute for human judgement. Do not rely on a Blueprint as the sole basis for a high-impact decision. Eagl does not provide legal, medical, financial, tax, employment or other regulated professional advice. Obtain qualified advice where appropriate.
9 Acceptable use
You must use Eagl lawfully and with respect for the rights and safety of others. You must not use Eagl to:
- infringe intellectual property, privacy, publicity, confidentiality or data-protection rights;
- record, monitor, harass, exploit, deceive or impersonate another person unlawfully;
- upload malware, unlawful content, sexual content involving minors, or material that promotes serious harm or criminal activity;
- generate or distribute deceptive content as an authentic record, or conceal material AI alteration where disclosure is required;
- gain unauthorised access to Eagl, another account, data, systems or networks;
- probe security, defeat usage limits, scrape the service, automate access without permission, or interfere with service operation;
- reverse engineer, copy or derive Eagl’s source code, models or non-public technology except where applicable law does not allow this restriction;
- resell, rent, sublicense or commercially exploit Eagl unless we authorise it in writing; or
- use Eagl or its output to develop or train a competing model or service without our written permission.
We may investigate suspected misuse and take proportionate action, including limiting processing, removing access to unlawful material, suspending an account or reporting conduct where required by law.
10 Plans credits and processing limits
Plans may include processing credits, feature limits, seat limits, per-source duration limits or other allowances. The plan page or order screen explains the allowance and how a credit is measured when you subscribe. Unless stated otherwise, credits are not money, cannot be transferred or exchanged for cash, and expire or reset at the end of the period shown in your account. Unused recurring credits do not carry over unless the plan page expressly says they do.
Processing may be rounded in the manner shown before purchase or in the product. A request may fail or stop if the source exceeds a limit, your balance is insufficient, the source is inaccessible or unsupported, or processing would breach these Terms.
Free credits, trials, previews and promotional offers may have additional conditions, may be limited to one per person or organisation, and may be changed or withdrawn before redemption. We may refuse or reverse promotional credit obtained through abuse, duplication or misrepresentation.
11 Subscriptions payment cancellation and refunds
Prices, billing periods, included credits and taxes are shown before purchase. Payments may be processed by a third-party payment provider. You authorise us and that provider to charge the selected payment method for the stated fees and applicable taxes.
A recurring subscription renews automatically for the same billing period until cancelled. You may cancel through the account controls, where available, or by contacting us. Cancellation stops the next renewal and takes effect at the end of the current paid period; access continues until then unless the account is suspended for cause.
Except where the plan page, a written agreement or applicable law says otherwise, payments are non-refundable and we do not provide partial refunds or credits for unused time or unused processing allowances. This does not affect any cancellation, refund, repair or other right that cannot lawfully be excluded.
We may change subscription prices by giving reasonable advance notice. A price change applies from your next renewal after the notice period, and you may cancel before it takes effect. If payment fails, we may retry the charge, limit paid features or suspend the subscription after giving notice where reasonably practicable.
12 Organisation and team accounts
An organisation may purchase seats and allocate credits to its members. Its authorised administrators may manage membership, assign or remove administrator rights, allocate available credits and remove a member’s access. Your use may also be governed by the organisation’s policies and its separate agreement with us.
Administrator rights do not allow an organisation or its administrators to open, read or search another member’s source material or Blueprints, view that member’s processing activity, or see how that member used allocated credits. An administrator may see only the account information and controls reasonably necessary to manage membership, roles, credits and access.
13 Third-party services
Eagl may work with or link to third-party services, including identity, hosting, speech recognition, AI, payment, content-source and distribution providers. Their services may be subject to their own terms and privacy policies. We are not responsible for third-party services, material or availability that we do not control.
A third-party platform may restrict access to its content or change its technical interface. We do not promise that any particular link, video, file type, integration or platform will remain available.
14 Eagl intellectual property and feedback
Eagl and its licensors own the service, software, interface, design system, brand, trade marks, documentation and underlying technology, excluding User Content. These Terms do not transfer those rights to you.
If you choose to send ideas or feedback, you permit us to use them without restriction or payment. This does not give us ownership of your User Content or confidential material submitted for processing.
15 Privacy and security
Our Privacy Policy explains how we collect, use, disclose, protect and retain personal data and how you may exercise applicable privacy rights. It forms part of these Terms. If you submit personal data about another person, you confirm that you are authorised to do so and have given any required notice.
We use reasonable administrative, technical and organisational safeguards, but no online service is completely secure. You should use a strong password, protect your devices, restrict share links and avoid uploading material that is not necessary for your purpose.
16 Service availability and changes
We aim to keep Eagl available and useful, but we do not promise uninterrupted, error-free or permanently available service. Maintenance, security events, third-party failures, legal requirements and product development may affect access or processing.
We may add, remove or change features and limits. If a change materially reduces a paid plan during its current billing period, we will provide reasonable notice where practicable and any remedy required by law. Preview, beta or experimental features may be changed or withdrawn at any time and are provided for evaluation.
Keep independent copies of material you cannot afford to lose. Eagl is not intended to be your sole archive or records-management system unless a separate written agreement expressly says otherwise.
17 Suspension termination and account closure
You may stop using Eagl at any time and may request account deletion through the account controls, where available, or by contacting us. Subscription cancellation and account deletion are different actions; deleting an account does not automatically entitle you to a refund.
We may restrict, suspend or terminate access if you materially or repeatedly breach these Terms, fail to pay, create a security or legal risk, misuse the service, or if we are required to do so by law. Where appropriate, we will give notice and a reasonable opportunity to remedy the issue, but we may act immediately for urgent security, safety or legal reasons.
When access ends, your licence to use Eagl ends. Treatment of account information and User Content following closure is governed by our Privacy Policy, applicable law and any separate written agreement. Clauses that by their nature should continue, including ownership, payment obligations, disclaimers, liability, disputes and general provisions, survive termination.
18 Warranties and disclaimers
To the fullest extent permitted by law, Eagl is provided on an “as available” basis. We do not warrant that Eagl will always be available, meet every requirement, preserve every nuance, or produce complete, accurate or legally admissible records. Any warranty or condition implied by law is excluded only to the extent the law permits.
Nothing in these Terms excludes guarantees, remedies or protections that apply to you and cannot legally be excluded, including applicable rights under the Consumer Protection Act 1999 of Malaysia.
19 Liability
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable.
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary or consequential loss, or for loss of profit, revenue, opportunity, goodwill or anticipated savings. This exclusion does not apply where such loss cannot lawfully be excluded.
To the fullest extent permitted by law, Eagl’s total liability arising out of or relating to a paid service and these Terms is limited to the amount you paid to Eagl for that service during the 12 months before the event giving rise to the claim. For claims relating solely to use of a free service, Eagl has no monetary liability. These limits apply collectively to all claims and do not reduce any minimum remedy required by consumer law.
20 Responsibility of business users
If you use Eagl for business or professional purposes, you will defend and indemnify Eagl and its personnel against third-party claims, losses and reasonable costs arising from your unlawful User Content, your failure to obtain required recording or privacy permissions, or your material breach of clauses 5 or 9. This clause does not apply to the extent a claim was caused by Eagl’s breach, negligence or wilful misconduct, and it does not apply to consumers acting wholly or mainly outside a trade, business, craft or profession.
21 Changes to these Terms
We may update these Terms to reflect changes to Eagl, our business, law or risk. We will post the updated Terms and revise the “Last updated” date. For material changes, we will provide reasonable advance notice through Eagl, email or another appropriate channel. Changes will not apply retrospectively unless required by law.
If you do not agree to an update, you must stop using Eagl and cancel any renewal before the updated Terms take effect. Your continued use after that date constitutes acceptance, except where applicable law requires a different form of consent.
22 Governing law and disputes
These Terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction over disputes arising from these Terms or Eagl, subject to any mandatory right you have to bring a claim in another forum or under the consumer laws of the place where you live.
Before starting court proceedings, please contact [email protected] with a description of the problem and the remedy you seek. We will try in good faith to resolve it. This informal step does not prevent either party from seeking urgent relief or using a consumer tribunal or regulator where entitled.
23 General terms
These Terms, the Privacy Policy, the plan information shown at purchase and any applicable signed agreement form the agreement between you and Eagl for the service. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue.
Our failure to enforce a provision is not a waiver. You may not assign your account or rights under these Terms without our written consent. We may assign these Terms as part of a merger, reorganisation, financing or sale of all or part of our business, subject to applicable law.
Neither party is responsible for delay caused by events beyond its reasonable control, except that this does not excuse payment obligations already due. Section headings are for convenience and do not affect interpretation.
